US-based Sazerac Company has officially launched a voluntary public takeover offer to acquire all outstanding shares of German spirits manufacturer Berentzen-Gruppe AG for €5.55 per share in cash. The offer represents a significant premium over Berentzen's previous closing stock price of €4.53. Both the Executive Board and the Supervisory Board of the Berentzen Group have endorsed the transaction, which requires a minimum acceptance threshold of 50% plus one share. Sazerac intends to delist the company following the successful completion of the acquisition, which is expected to close in the fourth quarter of 2026. Berentzen previously downgraded its full-year financial guidance due to declining domestic demand and rising cost pressures, prompting strategic acquisition talks. The move marks Sazerac's latest expansion effort within the European beverage market, following previous international acquisitions including UK-based Au Vodka. Regulatory antitrust approvals are not required for the transaction to proceed under current market rules.
