Federal prosecutors and the Securities and Exchange Commission are investigating insurance companies controlled by billionaire Mark Walter after internal reviews found roughly $21 billion in loans should have been classified as related-party transactions. Delaware Life Insurance Co. and Clear Spring Life and Annuity Co. disclosed in June that they received federal grand-jury subpoenas in February and subsequently identified reporting errors involving private-credit investments. Delaware Life’s related-party exposure rose from about 3% of invested assets to roughly 40%, according to Fitch Ratings. TWG Global, Walter’s holding company, agreed August 18 to exchange up to $6.5 billion of affiliated Delaware Life assets for equivalent unaffiliated assets, subject to regulatory approval. Walter sold his controlling Lakers stake for a $12.5 billion valuation, while discussions continue over his Chelsea stake. No criminal charges have been filed against Walter or his companies. The investigation remains active, and regulators are examining disclosure, governance and policyholder-risk questions.
