A federal judge temporarily halted Paramount Skydance’s proposed acquisition of Warner Bros. Discovery on July 20, after California and 11 other states challenged the $110 billion transaction under antitrust law. U.S. District Judge Araceli Martínez-Olguín issued a 14-day restraining order, finding the states had raised serious questions about competitive harm in wide-release theatrical distribution. The coalition, led by California Attorney General Rob Bonta, argues the combination would reduce competition in film distribution and basic-cable licensing. Paramount has rejected the allegations and says the transaction is lawful and pro-competitive. The U.S. Justice Department had separately closed its investigation on June 12, concluding the deal was unlikely to harm competition or consumers. The European Commission approved the acquisition on July 22 subject to conditions. The deal remains on hold, however, and Paramount and California officials are scheduled to discuss a potential settlement on August 24 in preliminary talks, according to reports.
