Netflix Shareholders Vote Out Board Member Jay Hoag In Rare Repudiation

Netflix shareholders ousted director Jay Hoag, a venture capitalist, following a recommendation from Institutional Shareholder Services (ISS). ISS cited Hoag's poor attendance at board meetings (only 50% attendance in 2024), deeming him ineffective. Hoag received only 21.6% support in the vote. This follows a similar rejection of Warner Bros. Discovery's executive compensation. Netflix's board will decide whether to accept Hoag's resignation within 90 days. Hoag had served on the Netflix board since 1999 and also holds positions on several other company boards.
