Netflix Board to Meet After Director Jay Hoag Fails to Get Votes

Netflix's lead independent director, Jay Hoag, submitted his resignation following a shareholder vote where he failed to secure a majority. This was triggered by a company policy enacted last year. The board will decide within 90 days whether to accept his resignation. The low vote likely stemmed from a recommendation by Institutional Shareholder Services (ISS) citing Hoag's poor meeting attendance in the prior year, although his attendance has since improved. ISS's recommendations, while influential, aren't always heeded by shareholders.
